Terms of Service

These Terms of Service ("Terms") govern your use of the Dwelbase platform operated by Dwelbase, Inc. ("Dwelbase," "we," "us," or "our"). By accessing or using our services at app.dwelbase.io, you agree to these Terms.

1. Services

Dwelbase provides a compliance monitoring and management platform for NYC property managers, including:

  • Automated building violation monitoring across NYC agencies (HPD, DOB, FDNY, DEP, DSNY, DOT, OATH)
  • Compliance deadline tracking and alerts
  • Violation correction workflow management
  • Risk scoring and portfolio analytics
  • Field evidence collection (photos, GPS, timestamps)
  • Report generation and export
  • Real-time data synchronization between web and mobile

2. Accounts

Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your credentials.

Organization Accounts

Dwelbase uses organization-based accounts. The account administrator manages team members, roles, and permissions.

Eligibility

You must be at least 18 years old and have legal authority to bind your organization to these Terms.

3. Subscription Plans

Tiers

  • Standard: Web-based compliance monitoring, violation tracking, and correction workflows
  • Premium: Everything in Standard plus mobile app, GPS-tagged evidence, real-time field sync, push notifications, geo search, and offline mode

Billing

  • Subscriptions are billed per user per month
  • Payment is processed securely through Stripe
  • Subscriptions renew automatically unless cancelled
  • Price changes communicated 30 days in advance

Free Trial

New self-serve accounts receive a 3-day free trial. Payment information required at signup. Cancel before the trial ends to avoid charges.

4. Dwelbase Tokens

Certain premium services are metered using Dwelbase Tokens.

  • Tokens are purchased in prepaid packs via Stripe
  • No cash refunds for purchased tokens
  • Token credits issued for service issues at Dwelbase's discretion
  • Unused tokens do not expire while your account is active
  • Upon account closure, unused tokens are forfeited

5. Data & Content

Your Data

You retain ownership of all data you upload. We do not claim ownership of your content.

Government Data

Violation data sourced from NYC agencies is public data. Dwelbase aggregates this data for convenience but does not guarantee its accuracy, completeness, or timeliness.

Data Accuracy Disclaimer

  • Violation data may have delays from NYC open data portals
  • Compliance assessments are informational and do not constitute legal advice
  • Risk scores are algorithmic estimates, not certified audits
  • Always verify critical matters with the relevant NYC agency

6. Acceptable Use

You agree NOT to:

  • Share account credentials with unauthorized users
  • Attempt to access another organization's data
  • Use automated tools to scrape or bulk-download data
  • Resell, redistribute, or sublicense Dwelbase data or services
  • Use the platform for any unlawful purpose
  • Interfere with the platform's operation or security
  • Reverse engineer or decompile any part of the platform

7. Intellectual Property

The Dwelbase platform is owned by Dwelbase, Inc. and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the platform.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Dwelbase is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Total liability shall not exceed the amount paid in the 12 months preceding the claim
  • We are not responsible for actions or inactions of NYC agencies
  • We are not a law firm and do not provide legal advice

9. Indemnification

You agree to indemnify and hold Dwelbase harmless from any claims, damages, or expenses arising from your use of the platform or violation of these Terms.

10. Termination

By You

Cancel anytime through account settings. Access continues until end of billing period.

By Us

We may suspend or terminate your account for Terms violations, non-payment, or harmful activity.

Effect of Termination

  • Access revoked immediately
  • Data export available within 30 days
  • After 30 days, data permanently deleted
  • Unused tokens forfeited

11. Dispute Resolution

Governing Law: State of New York.

Arbitration: Binding arbitration in New York, NY under AAA rules.

12. Changes to Terms

We may modify these Terms at any time. Material changes communicated 30 days in advance. Continued use constitutes acceptance.
